A commercial contract is any agreement that governs a business relationship: a client services agreement, a vendor arrangement, a distribution deal, a software license, a partnership term sheet, or any other document that defines the rights and obligations between two parties in a commercial context. Most businesses use them constantly. Most businesses have never had them reviewed by an attorney.

Generic templates pulled from the internet do not account for the specific laws of Rhode Island or Massachusetts, do not reflect the actual terms of your deal, and do not hold up the way a properly drafted agreement does when a relationship goes sideways. The language in your commercial contracts is what determines who is right when there is a dispute. Getting it right before the dispute is substantially less expensive than fixing it after.
