Commercial Contracts

A commercial contract is any agreement that governs a business relationship: a client services agreement, a vendor arrangement, a distribution deal, a software license, a partnership term sheet, or any other document that defines the rights and obligations between two parties in a commercial context. Most businesses use them constantly. Most businesses have never had them reviewed by an attorney.

A Basic commercial agreement covers a straightforward service or goods relationship with defined scope, payment terms, and standard risk allocation. A Standard agreement addresses more involved commercial relationships with additional provisions around intellectual property, confidentiality, indemnification, and termination. A Complex agreement is appropriate for high value or structurally sophisticated commercial arrangements, including multi party deals, licensing structures, and agreements with significant liability exposure on either side.
